1. Acceptance of Terms

By accessing and using RallyFlo (the "Platform"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Platform. Your continued use of the Platform constitutes acceptance of these terms in their entirety.

2. License and Use

RallyFlo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes. You may not reproduce, distribute, transmit, modify, or otherwise exploit the Platform or its content without express written permission.

3. User Accounts and Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use. RallyFlo is not responsible for any loss or damage resulting from your failure to protect your credentials.

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RALLYFLO AND ITS OWNER, OPERATORS, AFFILIATES, AND THIRD-PARTY SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data, files, or information
  • Loss of revenue, profits, or business opportunity
  • Service outages, downtime, or interruptions
  • Security breaches, unauthorized access, or data theft
  • Corrupted, deleted, or compromised information
  • Defamatory, offensive, or abusive content posted by other users
  • Malware, viruses, or other malicious code
  • Third-party actions, including hacking or exploitation
  • Network failures or performance issues
  • Any other damages, claims, or losses of any kind

This applies regardless of whether such damages were foreseeable or whether we were advised of the possibility of such damages.

5. Assumption of Risk

You use the Platform entirely at your own risk. By using RallyFlo, you explicitly acknowledge and assume all risks associated with:

  • Data loss, corruption, or deletion
  • Security vulnerabilities and breaches
  • Service interruptions or unavailability
  • Third-party access to your information
  • Platform errors, bugs, or failures
  • Abusive, offensive, or harmful content from other users
  • Performance degradation or slowness
  • Incompatibility with your systems or devices
  • Any and all other risks associated with digital platforms and cloud services

You acknowledge that no Internet-based service is 100% secure or reliable, and you accept this inherent risk.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.

RallyFlo expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, title, and performance. We make no representation that the Platform will:

  • Meet your requirements
  • Be uninterrupted, timely, secure, or error-free
  • Be free from defects, viruses, or harmful components
  • Remain available or operational
  • Provide consistent uptime

7. Data Protection Responsibility

You are solely responsible for backing up your data. RallyFlo does not guarantee data preservation, recovery, or protection. While we use standard security measures, we do not warrant that your data will be protected against loss, theft, or unauthorized access. You should maintain independent backups of all important information.

8. No Service Level Agreement

RallyFlo does not guarantee any specific uptime, availability, or service reliability. The Platform may be unavailable at any time for maintenance, updates, repairs, or other reasons, with or without notice. We are not liable for any damages resulting from service interruptions, downtime, or unavailability.

9. Security Breaches and Unauthorized Access

While RallyFlo implements standard security practices, we cannot and do not guarantee that the Platform is secure against all threats. You acknowledge that:

  • No security system is impenetrable
  • Hackers may gain unauthorized access to data
  • Third parties may intercept or steal information
  • Vulnerabilities may exist despite our efforts
  • We are not responsible for losses resulting from security breaches
  • You assume all risk of unauthorized access and data theft

RallyFlo will not be held liable for any security breach, unauthorized access, or theft of data.

10. User Content and Abusive Material

Users may post content including text, notes, and comments ("User Content"). RallyFlo is not responsible for:

  • Monitoring, filtering, or reviewing User Content
  • Removing abusive, offensive, defamatory, or harmful content
  • Damages caused by User Content from other users
  • Harassment, bullying, or threats posted by other users
  • Misinformation or false claims in User Content
  • Privacy violations or exposure of sensitive information

While we may moderate content in our sole discretion, we have no obligation to do so. Users are responsible for managing their own experience and protecting themselves from harmful content.

11. Third-Party Services and Integrations

RallyFlo may integrate with third-party services, APIs, or platforms. We are not responsible for their availability, security, performance, or any damages resulting from their use or failure. You use third-party integrations at your own risk.

12. Indemnification

You agree to indemnify, defend, and hold harmless RallyFlo and its owner, operators, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms and Conditions
  • Your User Content or actions
  • Your infringement of third-party rights
  • Your misuse of the Platform
  • Claims by other users or third parties related to your activities

13. Modification of Terms

RallyFlo reserves the right to modify these Terms and Conditions at any time without notice. Your continued use of the Platform constitutes acceptance of any modified terms. You are responsible for reviewing these terms periodically.

14. Suspension and Termination

RallyFlo may suspend or terminate your account at any time, for any reason, with or without notice or cause. Upon suspension or termination, your access to the Platform and all data will be lost. We are not responsible for data loss or damages resulting from suspension or termination.

15. Governing Law

These Terms and Conditions are governed by the laws of the jurisdiction in which the Platform operator resides, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts of that jurisdiction.

16. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms and Conditions, along with any other policies posted on the Platform, constitute the entire agreement between you and RallyFlo regarding your use of the Platform and supersede all prior negotiations, representations, and agreements.

Important: By using RallyFlo, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. You assume all risks associated with using this Platform, and RallyFlo shall have no liability for any damages or losses.
